By engaging with Digital Dorks and using our services, you agree to provide us with permission to access and manage your accounts (Google Ads, Facebook, etc.) on your behalf, as per the specific terms outlined in this document. You remain the owner of your accounts and are responsible for complying with the provider’s terms and conditions.

2. Google Ads Management

• Access and Responsibility: You authorize Digital Dorks to access your Google Ads account to manage campaigns on your behalf. You are responsible for paying all advertising fees directly to Google.
• Liability: We are not responsible for disapproved ads, suspended ads, or any breaches regarding intellectual property (e.g., copyrights, trademarks, and patents).
• Results: We do not guarantee any specific results from Google Ads campaigns, as results can vary depending on numerous factors outside our control.
• Fee Structure: All fees for our Google Ads management services are payable monthly in advance. In case of suspension or cancellation of services, ongoing fees remain due, and you are responsible for any outstanding charges from Google.

3. Social Media Management (Facebook, Instagram)

• Access and Responsibility: You grant us access to manage your Facebook and Instagram Business Manager accounts. You remain responsible for complying with Facebook’s terms and conditions.
• Liability: We are not liable for any content issues or account suspensions, nor for privacy breaches related to your social media accounts.
• Fees and Management: Social media services, including Facebook and Instagram Ads management, are billed monthly in advance. You are responsible for uploading non-paid content and monitoring your accounts.

4. Search Engine Optimization (SEO)

• Website Optimization: We may make changes to your website to optimize its search engine ranking. While we make reasonable efforts, we cannot guarantee increases in traffic or rankings due to external factors such as changes to search engine algorithms.
• Liability: Digital Dorks is not liable for any fluctuations in traffic or search engine rankings due to such external factors.

5. Converto Pages (Landing Page Creation)

• Ownership and Liability: The Converto page, created to optimize lead generation, remains the property of Digital Dorks. We are not liable for any technical issues or downtime, including potential Google Ads costs or loss of revenue during page downtime.
• Fees: Fees for Converto Pages are payable monthly in advance.

6. Do It For Me (DIFM) Websites

• Website Creation and Management: Digital Dorks will create and manage a website for you, utilizing pre-designed templates and customizing them to suit your business needs. The website remains our property until the service is cancelled.
• Liability: We are not liable for any website downtime or the loss of conversion revenue due to technical difficulties.
• Fees: A set-up fee and ongoing monthly management fees are applicable, payable in advance.

7. eCommerce Solutions

• Custom eCommerce Websites: We offer eCommerce website creation, including product data population, checkout functionality, and integrations with social media.
• Fees: Ongoing fees for managing and supporting your eCommerce website are charged monthly in advance.

8. Hosting Services

• Web Hosting: We provide web hosting services, including email access. A separate agreement with terms and pricing for hosting will be required.
• Liability: We are not responsible for any downtime or issues affecting hosting services, including any loss of Google Ads revenue or conversion opportunities.

9. Custom Websites and Video Animation Services

For custom website development and video animation services, separate agreements with specific terms and conditions will apply. These agreements will outline the scope of services, payment structures, and any other pertinent details.

10. Payment Arrangements and Billing Cycle

• General Payment Terms: Payment for all services is due in advance, unless otherwise agreed. Initial set-up fees must be paid prior to service commencement.
• Management Fees: All management fees, including for Google Ads, Social Media, and other ongoing services, are billed on a monthly cycle and must be paid in advance. If you pause or suspend services, you are still responsible for any fees incurred.
• Late Payments: Failure to pay fees on time may result in suspension of services until payments are received.

11. Termination and Cancellation

• Services: Either party may terminate services with notice as per the agreed terms. In case of cancellation, you remain responsible for any fees incurred up until the cancellation date.
• Fees: If services are paused or suspended, ongoing fees remain payable. We will not refund any amounts for services that were not used during such periods.

12. Privacy and Data Protection

• Data Ownership: You retain ownership of all data associated with your accounts. However, we retain the right to manage and use this data for the provision of services.
• Privacy: Digital Dorks is not responsible for any privacy breaches while managing your accounts. You are responsible for ensuring that any content uploaded complies with privacy regulations and intellectual property laws.

13. No Guarantees

While Digital Dorks will make reasonable efforts to optimize your digital presence, we do not guarantee any specific outcomes, including increased traffic, ad performance, or conversions.

14. Indemnity

You agree to indemnify and hold Digital Dorks harmless against any claims, damages, or legal actions arising from your use of our services, including any violations of intellectual property rights or privacy laws.

15. Amendments

We reserve the right to update and amend these terms and conditions at any time. Any changes will be communicated to you, and continued use of our services after such updates will constitute acceptance of the new terms.

16. Governing Law

These Terms and Conditions are governed by the laws of New Zealand. Any disputes arising from these terms will be subject to the exclusive jurisdiction of New Zealand courts.
